How to write an offer letter to a would be investor ?

My dolphin site is doing a bit fine and i contacted a company for ad banner on my site. They asked me to mail an offer letter to them but ive no idea about it.

So can anybdy plz guide me on how to write one?

 you are in the wrong place asking how to draft such an important document. you need to look up on google "offer letters" or something, or find some business document site where those folks are professionals on that topic.

 day-to-day business operations are not something i would consider to be an appropriate topic to bank on from this forum.
